Reseller agreement

1. The parties

This agreement is between 3rd Eye Media ("the Company") and the individual or business that registers a reseller account on 3rdeyemedia.app ("the Partner").

Both individuals and registered businesses may become Partners. VAT registration is not required. If the Partner registers as a business and is VAT registered, the Partner supplies its VAT number and issues valid tax invoices for commission paid.

2. What the Partner may do

The Partner promotes 3rd Eye Media hologram displays, hologram hire, AR apps, XR software and the Hologram Studio membership using the personal referral links and marketing material supplied in the reseller dashboard.

The Partner is an independent contractor. This agreement creates no employment, partnership, agency or exclusivity, and the Partner may not sign contracts, quote outside published prices, or make promises on behalf of the Company.

3. Commission

The Partner earns 10% of the value of every completed sale that originates from the Partner's referral link, on both hologram display purchases and Hologram Studio memberships.

Commission is attributed when a buyer arrives through the Partner's link and completes payment within 90 days of that visit. Where more than one Partner link is used, the most recent link is credited.

Commission is calculated on the amount actually paid, excluding delivery, installation and any amounts refunded. Recurring membership renewals after the first paid month are not commissionable unless the Company confirms otherwise in writing.

4. Payouts

Commission is recorded as pending as soon as payment clears, and becomes approved once the order has passed its refund and dispute window.

Approved commission is paid by EFT into the bank account on the Partner's reseller profile, once the approved balance reaches R500 or more. Payouts are processed monthly.

The Partner is responsible for keeping banking details accurate and for its own income tax on commission earned. Commission on an order that is refunded, charged back or cancelled is reversed.

5. Conduct

The Partner may not use spam, misleading claims, fake reviews, trademark bidding on the Company's brand name, or paid advertising that impersonates 3rd Eye Media.

The Partner may not earn commission on its own purchases or on purchases by a business it controls.

The Partner uses only the marketing material supplied or approved by the Company and keeps product claims accurate.

6. Term and termination

Either party may end this agreement at any time with written notice. Commission already approved at that point is still paid.

The Company may suspend an account immediately and withhold commission where fraud, abuse or breach of the conduct terms is reasonably suspected.

7. General

The Company may amend these terms and will publish the updated version on this page. Continued use of a referral link after publication is acceptance of the update.

This agreement is governed by the laws of the Republic of South Africa.
